Preparations to register a company
 
From 1 January 2004 an application to register a legal entity or its unit, also the Articles of Association and other incorporation documents, first of all, have to be authenticated by a notary who verifies veracity of the data and compliance of the incorporation documents with the law provisions.
Preparation to register a company is very important. Before contacting a notary we recommend to prepare the registration documents as provided below:
  • to prepare all documents in relation to a certain legal form of a company (for example, the statute, the partnership agreement, the incorporation agreement or deed of incorporation, the articles of association, the minutes of the statutory meeting, etc.);
  • to obtain a statement of use of the premises or to prepare documents verifying the title to the premises.
Having received the registration documents of the company, branch or representation office, a notary examines whether the documents submitted are filled in duly, also their compliance with the legal acts.
Having examined the documents submitted, the notary indicates making a record on the application to be submitted to the Register Center that the data included in the documents are correct, the incorporation documents comply with the laws, thus the company, the branch or representation office may be registered. The documents submitted to the notary should be in the national language and in compliance with the Lithuanian language norms. The documents must be printed, orderly, in compliance with the legal acts regulating drafting and legalisation of documents. If the documents are drawn up not in the national language their translations signed by the translator must be enclosed.
 
Documents to be submitted to a Notary
 
For the registration of a partnership and limited partnership the following documents must be submitted:
  1. The application to register the company.
  2. The incorporation document (3 copies).
  3. The minutes of the statutory meeting.
  4. The statement regarding provision of the premises for economic activities of the company including the address and provision term issued by the owner of the non-living premises.
  5. For the registration of a company in residential houses owned by the municipality, undertakings, organisations, cooperatives and associations, a statement verifying that the apartment (house) is owned by the owner specified in the incorporation documents, also that the owner provides the premises for the activities of the company.
  6. The statement regarding opening of an accumulative account in a bank and the authorised capital formed.
  7. The report on assets valuation provided the shareholder pays partially for the shares not by monetary contribution.
 
For the registration of a private company the following documents must be submitted:
  1. Then application to register the company.
  2. The incorporation agreement or deed of incorporation provided the founder is a sole person.
  3. The articles of private company.
  4. The minutes of the statutory meeting of shareholders (support documents enclosed) or the incorporator's decision provided the incorporator is a sole person.
  5. The statement regarding provision of the premises for economic activities of the company including the address and provision term issued by the owner of the non-living premises.
  6. For the registration of a company in residential houses owned by the municipality, undertakings, organisations, cooperatives and associations, a statement verifying that the apartment (house) is owned by the owner specified in the incorporation documents, also that the owner provides the premises for the activities of the company.

Procedures of submission of the documents to the Register Center
 
Having received the incorporation agreement authenticated by a notary the entrepreneur must submit them to the Register Manager.
The provider of the documents and the notary must bind together all documents to be submitted to the Register Center so that other persons could not remove or replace them, except for the incorporation document of the company which must be bound individually, and the document verifying payment of the remuneration for the registration to the Register Center. 
The Register Center must adopt the decision to register the company, branch or representation office or the refusal to register within 5 working days from the date of submission of the registration documents.

Documents Submitted to the Register Center
 
For the registration of the private company:
  1. The application to register the private company.
  2. The incorporation document.
  3. The incorporation agreement and amendments to it provided the agreement was amended prior to the registration of a legal entity, and if the legal entity is being established by a sole person - the deed of incorporation.
  4. The licence provided a licence must be issued prior to the establishment of a legal person.
  5. The report on assets valuation provided the shareholder pays partially for the shares not by monetary contribution.
  6. The document verifying the registration fee has been paid.
 
For the registration of the general and limited partnerships:
  1. The application to register a partnership.
  2. The statute.
  3. The licence provided a licence must be issued prior to the establishment of a legal person.
  4. The document verifying the registration fee has been paid.
 
Registration of the company branch or representation office
 
The company branch is established to engage in the economic-commercial activities. The representation office of the branch may not perform economic-commercial activities and it is established only when it is needed to represent the company (to engage in advertising, to conclude transactions, etc.). The name of the branch or representation office must include the name of the company (incorporator) and the word "branch" or "representation office".
 
Registration documents of a company branch or representation office
 
For registration of a company branch or representation office, at first, the entrepreneur has to contact a notary. The documents to be submitted by the individual company, the general and limited partnerships, the private company, the public company, the cooperative company for the registration of its branch or representation office are as follows:
  1. The application to register the branch or representation office.
  2. The statute of the branch or representation office.
  3. The document verifying decision of the competent managing body regarding incorporation of the branch or representation office by which the head of the branch or representation office has been assigned and the branch statute approved.
  4. A copy of the agreement on lease, use or any other agreement including consent of the owner of the premises to provide premises to the branch of representation office, authenticated by a notary.
  5. The licence provided a licence must be issued prior to the establishment of a legal person.
Compliance of the documents having been authenticated by a notary, the following documents are submitted to the Register Manager:
  1. The application to register the branch or representation office.
  2. The statute of the branch or representation office.
  3. The licence provided a licence must be issued prior to the establishment of a legal person.
  4. The document verifying the registration fee has been paid.  
Legalisation of documents
 
The certified, true copies of all documents, submitted by foreign enterprises must be legalised by the procedures prescribed by law, which have acceded to the Hague Convention of 5 October 1961, "On the Abolishment of Legalisation of Documents Issued by Foreign States", must be confirmed by an APOSTILLE certificate. Documents of countries, which have not acceded to this convention, are legalised on the basis of the instructions for legalising consular documents confirmed by the Ministry of Foreign Affairs.
